So say Hillary gets indicted or has a stroke, so she drops out and the Dems nominate Biden at the convention and Romney files in California, gets a delegate, and wins against Trump in a brokered convention...who wins?

The California deadline isn't until the end of March

Even if it had passed, the RNC doesn't work like that.  Romney wouldn't need to have filed in a single state to win the nomination should the convention go to multiple ballots.

Similarly on the DNC side should Hillary withdraw or release her delegates.
